Acceptance of these Terms
These Terms form a binding agreement between you and Iyah May LLC (“Iyah May,” “we,” “us,” or “our”). By visiting the site, creating an account, joining The Citizens, making a purchase, or otherwise using our services, you agree to these Terms. If you do not agree, do not use the services.
Eligibility
You must be able to enter into a legally binding agreement where you live. If you are under the age of majority, a parent or legal guardian must review and accept these Terms and supervise your use of the services.
The Citizens memberships
The Citizens is Iyah May’s direct-to-fan community. Membership features, access, pricing, and availability may change over time. Paid access is personal, non-transferable, and may not be shared, resold, or used for commercial redistribution. We may add, remove, reschedule, or replace content and benefits while continuing to provide the overall membership service.
Payments and automatic renewal
Prices, taxes, billing cadence, and currency are shown before checkout. Recurring memberships automatically renew at the disclosed interval until cancelled. You authorize our payment provider to charge the payment method on file for each renewal. If payment fails, access may be paused or ended. We may change future pricing after giving notice required by applicable law; a price change will not retroactively alter a completed charge.
Cancellation and refunds
You may cancel a recurring membership at any time to prevent future renewals. Cancellation and refund eligibility are governed by our Refund & Return Policy. Nothing in these Terms limits rights or remedies that cannot lawfully be waived.
Merchandise purchases
Merchandise descriptions, prices, availability, estimated delivery dates, shipping charges, and taxes are presented through the store and checkout. Orders may be limited or cancelled if an item is unavailable, pricing is materially incorrect, or fraud or misuse is suspected. Product colors and appearance may vary slightly by screen and production batch. Risk of loss and title will transfer in accordance with applicable law and the terms presented at checkout.
Intellectual property
The site and its music, recordings, videos, photographs, artwork, designs, text, logos, software, and other content are owned by or licensed to Iyah May LLC and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive right to access the services for personal, non-commercial use. No ownership rights are transferred to you.
User content
You retain ownership of content you submit, including comments, questions, and messages. You grant Iyah May LLC a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and moderate that content only as reasonably needed to operate, provide, and protect the services. You represent that you have the rights needed to submit it and that it does not violate law or another person’s rights.
Prohibited conduct
You may not misuse the services, interfere with security or access controls, scrape or copy content at scale, impersonate another person, submit unlawful or abusive material, attempt unauthorized access, introduce malicious code, exploit the services commercially without permission, or use the services in a way that harms Iyah May LLC, other members, or third parties.
Third-party services
Parts of the experience rely on third parties such as payment processors, Shopify, media platforms, email providers, and social networks. Their separate terms and privacy practices may apply. We are not responsible for third-party services that we do not control, although this does not limit any responsibility we have under applicable law.
Availability and termination
We may maintain, change, suspend, or discontinue any part of the services. We may restrict or terminate access when we reasonably believe these Terms, law, security, or the rights of others have been violated. Provisions that by their nature should survive termination—including ownership, disclaimers, liability limits, and payment obligations—will survive.
Disclaimers
To the maximum extent permitted by law, the services are provided “as is” and “as available.” We do not promise uninterrupted or error-free operation, continuous availability of particular content or benefits, or that every third-party service will remain available. This disclaimer does not affect warranties or consumer rights that cannot lawfully be excluded.
Limitation of liability
To the maximum extent permitted by law, Iyah May LLC and its officers, members, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, goodwill, or opportunities arising from the services. Our total liability for a claim will not exceed the amount you paid us for the product or service giving rise to that claim during the twelve months before the event. These limitations do not apply to fraud, willful misconduct, gross negligence, personal injury caused by negligence, or any other liability that cannot lawfully be limited.
Indemnification
To the extent permitted by law, you agree to indemnify and hold Iyah May LLC harmless from third-party claims, losses, and reasonable costs arising from your unlawful misuse of the services, your violation of these Terms, or content you submit. This obligation does not apply to the extent a claim was caused by Iyah May LLC.
Applicable law and consumer rights
These Terms are governed by applicable law, without overriding mandatory consumer protections in the place where you live. Any dispute must be brought before a court or tribunal with lawful jurisdiction. Before filing a formal claim, please contact us so we can try to resolve the issue informally.
Changes to these Terms
We may update these Terms as the services or law change. The revised version will be posted here with a new effective date. Where required, we will provide additional notice. Continued use after an update takes effect means you accept the revised Terms.
General terms
If any provision is unenforceable, the remaining provisions stay in effect. A delay in enforcing a right is not a waiver. These Terms and any policies incorporated by reference are the entire agreement for the services they cover. You may not assign your rights under these Terms without our consent; Iyah May LLC may assign them as part of a reorganization, financing, merger, or transfer of the relevant business.
